INTRODUCTION
The Code of Corporate Culture of “DEUTSCH PHARM” LLC is based on universal principles and values and is spread out to all types of business relationships.
There should be any difference or discrepancy between what we say and what we do. The most important thing for us is the desire to create an open, professional, communicative, responsible and business culture of relationships, where people can firmly rely on understanding and openly share their problems.
The Code of Corporate Culture of “DEUTSCH PHARM” LLC applies not only to relations within the Company, but also to relations with all business partners, counterparties, public and political organizations.
The Code is an internal (local) document that is mandatory for all managers, officials and employees of the Company
A scheme for providing the population and medical institutions with pharmacy-made medicines has been created and successfully is operating in the Company.

Section 1. General Provisions
Purpose and scope of application.
This Code of Corporate culture of “DEUTSCH PHARM” LLC (hereinafter referred to as the Code) establishes the principles of corporate behavior that should be implemented in everyday activities of the Company (hereinafter referred to as the Company). The Code will contribute to the company’s development and help it to achieve its goals.
The Code defines the culture of behavior in the Company. The provisions of this Code are obligatory for all employees of the company.
Corporate culture is a set of dominant valuable ideas and behavior examples that determine the content and model of activities for employees, in spite of their official position and functional responsibilities.
This Code sets out the key elements of corporate culture – mission, vision, business principles, business vision rules, ethical standards and values of the Company’s employees.
1.1. The Purposes of the Corporate Culture Code.

Section 2.Norms And Rules of Business Ethics.
Main Provisions.
Over the years, the Company has acquired the status of one of the largest wholesale and retail pharmaceutical companies. “DEUTSCH PHARM” LLC’s reputation as a reliable, experienced, honest, open Company that strictly adheres to high standards of business ethics is the key to its success and prosperity. Complying with high ethical principles and maintaining the Company’s reputation is one of the main tasks of all employees. Any violations of the rules and regulations of business ethics can lead to a loss of trust in the Company from business partners, customers and government agencies.
Employees of the Company always act in accordance with the current legislation of Ukraine, firmly knowing and understanding the legislative acts which regulate their professional activities. In controversial or difficult situations, in order to avoid actions that may lead to a violation of the law or this Code, you should contact the Head of the Company’s structural division or legal service.
For the Company, not only the results are important, but also how they were obtained. Employees adhere to the ethical principles set out in this Сode and in the Code of Corporate Ethics, even if their actions may result in financial losses for the Company. High results, which require a violation of ethical principles, undermine the Company’s reputation and cause significant financial damage.
Employees of the Company do not make responsible decisions if they understand that their level of professional competence is insufficient. Any recommendations and suggestions are developed only after a thorough analysis of the problem and all available information on this issue from the relevant departments.
If you find yourself in a difficult situation that is not provided for by the current regulations and is not described in the Code, the employee should ask the following questions, and then consult with colleagues, the Head of the Department or Division:
- Am I doing the right thing?
- Will my colleagues judge me?
- Will my action not cause dissatisfaction of the manager, and for the top manager of shareholders?
- Will my actions contribute to strengthening the reputation of “DEUTSCH PHARM” LLC as a Company with high ethical principles?
- Do my actions meet the Company’s high standards of business ethics?
Effective use and compliance with ethical standards is a top priority for all employees of the Company and is mandatory for everyone without exception. Each employee of the Company is responsible for meeting these requirements.

The company has a fair, open and motivated policy towards its employees. This policy applies to all stages of working with personnel:

All the main aspects of mutual obligations of employees and the Company are stipulated in the Collective Agreement and employment contract.
Internal and External Control and Financial Activities of the Company.
The purpose of the internal and external control policy is to ensure appropriate and continuous compliance with the standards by all employees of the Company. The Company’s activities are based on honesty, transparency and openness in booking, developing budgets, financial plans, and so on.
All financial activities of “DEUTSCH PHARM” LLC are documented in strict accordance with the generally accepted procedure for processing of this type of document, the Company’s rules and legislative acts of Ukraine.
An effective system of internal and external control of the Company is aimed at achieving maximum financial results and ensuring the safety of the assets of “DEUTSCH PHARM” LLC
Protecting the Company’s Interests.
When making decisions on any issues related to the Company’s activities, employees must be guided solely by the interests of “DEUTSCH PHARM” LLC. Employees use the Company’s assets only for further development of its business and do not seek personal gain.
Employees of the Company refrain from participating in any activity if this activity:
- not consistent with the Company’s activities;
- contradicts your interests;
- may raise doubts about integrity and reliability.
A conflict of interest occurs if the employee pursues personal interests, and not the interests of the Company, when performing any production tasks. Employees should avoid situations of conflict of interest. Decisions made under the influence of a conflict of interest can leave a shadow on the reputation of the employee and the entire Company, and therefore are unacceptable in our practice.
Bribery in commercial relations is an illegal act. Payment and receipt of funds by employees of the Company, acceptance of gifts and providing of services in order to influence decisions is unacceptable.
If an employee of the Company is provided with signs of attention or services that can be used as means of influencing the current business relationship, you should notify your immediate supervisor no later than the next business day.
Norm of Corporate Behavior of Employees
The Company has a negative attitude if relatives work in direct subordination to each other. There should be no situations when employees monitor the activities of relatives and influence the terms of employment. If the spouse or close relative of an employee of Company works for a company that is a customer, supplier or competitor of “DEUTSCH PHARM” LLC, or owns such a company, then this employee should not participate in making decisions regarding business relations with such Company. The employee should not discuss confidential information about the Company’s activities with these persons.
Kinship or personal relationships of employees of the Company should not affect the performance of official duties or influence decisions . The Company does not welcome the desire of employees to exert any influence on decisions regarding their relatives, who also work for “DEUTSCH PHARM”LLC.
“Close relatives” are legal spouses, relatives and foster parents, relatives and foster children, relatives and half – siblings, nephews, nieces, aunts, uncles, grandfathers and close relatives of the spouses.
Corporate Traditions and Gifts
Cultural traditions of Company (corporate holidays – Medical Worker’s day, New Year’s day, March 8, October 14, Company birthday, employee anniversaries, etc.) may include gifts and joint holidays. All expenses for gifts and joint holidays provided by the Company should be accurately entered in the reports.
Other Work Activities
If an employee combines work in a Company with work in another organization, their additional work activity:
- can only be performed in a free time from performing basic official duties;
- should not negatively affect the performance of its main duties;
- must not harm the reputation or material interests of the Company;
- does not contradict the provisions of this Code;
- the immediate supervisor must be informed about this activity.
Privacy Policy
All information in the Company is protected according to its importance and confidentiality. Never and under no circumstances do employees use for their own purposes or third parties classified information obtained while working for the Company.
Some of the information that employees of “DEUTSCH PHARM” LLC have access to is confidential. The Company clearly regulates what information is confidential, access to such information, and brings it to employees. When entering a job, employees undertake not to disclose information that is a trade secret.
Some of the information may not be secret, but it may be interesting for competitors or other companies. Such information is the property of the Company and should not be disclosed. Among other things, such information may relate to factors such as:
- financial aspects of the Company’s activities;
- business development plans;
- production processes;
- planned promotions;
- customers and suppliers;
- the amount of wages and social benefits;
- expected changes in the management system;
- individual characteristics of employees, etc.
Information may be provided to third parties (in particular, representatives of mass media), if this is necessary for the benefit of the Company and does not contradict the law. Information can only be transmitted with the permission of the head of the division.
Relationships with Customers, Suppliers, and Clients.
In its relations with customers and suppliers, the company is guided by the following principles:
- honesty;
- respect for partners;
- openness;
- good faith.
Respecting the ethical principles of our partners, due to cultural and other differences, “DEUTSCH PHARM” LLC prefers those business partners who adhere to the norms and rules of business ethics adopted in our Company. The Company never hires agents to perform actions that contradict these principles.
Employees of the Company who interact with customers and suppliers act in such a way to avoid a conflict of interest. Decisions on the purchase or sale of materials, goods or services are made solely on the basis of evaluating their quality and comparing them with the offers of competitors.
Relationships with Competitors.
The Company supports free competition and entrepreneurship, conducts a fair and open policy towards competitors, guided by the laws governing competition, and, in particular, antimonopoly laws.
